Engagement of our professional services is governed by a separate Engagement Letter or Statement of Work agreed between Iterize and the client. These Terms and Conditions apply in addition to, and do not replace, the terms of any such agreement.
We reserve the right to decline any engagement at our discretion. Acceptance of a proposal does not constitute a binding contract until countersigned by a director of Iterize Ltd.
5. Confidentiality
Both parties acknowledge that in the course of an engagement they may have access to confidential information belonging to the other party. Both parties agree to maintain the confidentiality of such information and not to disclose it to any third party without prior written consent, unless required by law.
6. Limitation of Liability
To the maximum extent permitted by law, Iterize's total liability for any claim arising from the use of this website or our services shall not exceed the fees paid by the client in the three months preceding the claim.
We exclude liability for indirect, consequential, or economic losses, including loss of profit, loss of data, or loss of business opportunity.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
7. Indemnification
You agree to indemnify and hold harmless Iterize Ltd and its directors, employees, and contractors from any claims, damages, or expenses arising from your use of our website or services in violation of these terms.

Professional service warranties are addressed in the applicable Engagement Letter.
